1) Burning Seed is an Australian Official Burning Man Regional Gathering, which was conducted from June 2010 until April 2024, by Red Earth City, a Not For Profit organisation, formed by the privately run Not For Profit company Red Earth City Pty Ltd.

In April 2024 an MOU was signed between Sunburnt Arts Limited (a registered ACNC Not For Profit charity), Suburnt Events Limited (a subsidiary Not For Profit company) and Red Earth City Pty Ltd, to transfer IP, Assets and money to the new entities structure.

As part of restructure, it was always understood that the, Red Earth City Pty Ltd company, will keep running as part of the Australian Burning Man Community.

In the future, Red Earth City Pty Ltd, will be updating the constitution's purposes, removing any mention of its role as the promoter of Burning Seed, though allowing it to conduct any other events or activities, within the Australian Burning Man region, with the participation of, and for the benefit of, the wider Australian Burning Man Community.

It will continue to operate in a private Not For Profit manner, where there is no distribution of Income allowed to Shareholders or Directors.

It will continue to operate as a self declared ATO approved Cultural Organisation, which is Income Tax exempt, in the way ACNC registered charities are permitted.

It also has a primary responsibility in looking after and running the property and shed, at 1107 Deepwater Road, Matong, for the benefit of, the wider Australian Burning Man Community.

Two years prior to the MOU being entered into, a one off opportunity arose, to purchase a property at 1107 Deepwater Road, Matong, which was offered for sale, off-market, by a local resident artist, Vinnie, who exhibited their works at one of the very first Burning Seed events.

Red Earth City Pty Ltd purchased the property with its shed, in July 2022.

Vinnie has passed away since then, where his legacy remains with Red Earth City Pty Ltd, the Matong community and the wider Australian Burning Man Community.

Power was installed to the property soon after purchase and this is now an exciting project for the company & the Australian Burning Man Community, in moving forward.

We're so excited to have a permanat facility, which members of the Australian Burning Man community may use and benefit from, in the Matong Area, which has been the home of Burning Seed from 2011 to the current day.

The restructure came at the right time, as it allowed the risk of owning the property, to be separated from the entities taking the risk for the event, providing extra protection of the property, the shed and its contents.

2) Burning Man Australia's primary purpose is to help local Burners connect with each other, while bringing Burning Man principles and culture into their local communities.

This is achieved by providing support to the Burning Man Project's regions in Australia, their Regional Contacts and participating communities.

3) Red Earth City is a national organisation formed by the company Red Earth City Pty Ltd.

The organisation connects the BMA space with the default world, enabling the Australian footprint of the worldwide Burning Man Project which has its headquarters in San Francisco.

Red Earth City Pty Ltd ABN 72 141 969 226 is a Private Proprietorship Company, registered federally with ASIC and incorporated with a Constitution.

The original Constitution was changed, by the founding members, so it can be conducted in a 'Not For Profit' way, allowing it to pursue its purposes that uphold Burning Man principles and the aspiration's of the Burning Man Project.

Therefore, Red Earth City Pty Ltd is a registered private company, which operates constitutionally in a not-for-profit manner, as a self declared 'Cultural Organisation', approved by the Australian Taxation Office (ATO), facilitating the umbrella of Burning Man Australia, covering the Australian footprint of the Burning Man Project, a catalyst for collaborative & creative culture in the world."
